Are initial franchise fees tax-deductible in Australia?

No, the cost base for your franchise business as a capital asset includes the initial franchise fee or transfer fee paid to the franchisor. Because those fees are capitalised for use in the business, you, as the franchisee, cannot deduct the fees as business expenses on your annual income tax return. But if you work out your annual income tax liability, you can generally write off ongoing payments such as royalties, interest payments, and levies in the year they are paid as a continuing expense of running a business.

You have to navigate special withholding rules if you deal with a non-resident franchisor. The ATO typically requires franchisees to withhold a flat rate of 30% from the gross amount of a royalty payment and 10% from the gross amount of an interest payment. However, a double tax agreement with the non-resident franchisor’s country of residence may lower this rate. The royalty payment to a non-resident franchisor can be deducted only as a business expense where tax has been withheld on the royalty payment and the ATO has received the amount paid to them.

Under the Australian Franchising Code of Conduct, franchisors must prepare annual financial statements for marketing and other special-purpose funds. These statements must generally be independently audited, unless 75% of contributing franchisees vote not to require an audit. If an audit is conducted, a copy of the report must be provided to franchisees within 30 days of receipt. Proper accounting ensures transparency and compliance with ACCC requirements.

AASB 16 requires that Australian businesses include operating leases on their balance sheets. This means certain leases that have been recognised off the business’s balance sheet will now have to be recognised as a right-of-use asset and lease liability. This is designed to give greater transparency about an organisation’s financial commitments.

You must calculate and remit PAYG withholding correctly, meet superannuation guarantee obligations for eligible employees and file payroll tax returns where thresholds apply.
